SOLIGO LLC TERMS OF USE

1. INTRODUCTION AND ACCEPTANCE

Welcome to Soligo, an AI-powered workplace learning and productivity platform. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Soligo LLC ("Soligo," "we," "us," or "our") governing your access to and use of our website, platform, applications, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree with any part of these Terms, you must not access or use our Service.

2. DEFINITIONS

  • "Content" refers to any information, data, text, software, graphics, messages, or other materials that are uploaded, generated, provided, or otherwise made available through the Service.
  • "User Content" means any Content that you upload, input, or provide to the Service.
  • "Generated Content" means any Content created or produced by our AI technology in response to User Content or user instructions.
  • "AI" refers to artificial intelligence technologies, including large language models provided by Anthropic and other third-party providers.

3. AI SERVICES AND THIRD-PARTY PROVIDERS

3.1 Third-Party AI Services and No Guarantee of Availability

Soligo provides AI-powered services using third-party artificial intelligence models, including Anthropic. We make no guarantees regarding the accuracy, reliability, or availability of these services. Soligo does not control third-party AI models and is not responsible for interruptions, modifications, or terminations of service by third-party AI providers. Users acknowledge that Soligo does not guarantee continuous access to AI-generated services.

3.2 Limitations and Risks of AI-Generated Content

Users acknowledge that AI-generated content:

  • May be incorrect, incomplete, misleading, or biased.
  • Should not be relied upon as professional advice (e.g., legal, medical, financial guidance).
  • May contain factual errors, "hallucinations," or fail to reflect recent events or updated information.
  • Can generate misleading analytics, incorrect code, or biased decision-making outputs.
  • May incorporate data trained on copyrighted works, which is subject to emerging legal challenges.

Users must independently verify AI-generated content before relying on it and acknowledge that Soligo is not responsible for any harm or loss resulting from AI-generated recommendations.

3.3 AI-Generated Content & Intellectual Property

Soligo does not own or control AI-generated content and makes no representations regarding its legality or compliance with intellectual property laws. Users acknowledge that:

  • AI-generated content may infringe third-party intellectual property rights.
  • Soligo is not liable for any claims related to copyright infringement, trademark violations, or unauthorized use of proprietary content in AI-generated outputs.
  • Users bear sole responsibility for ensuring their use of AI-generated content complies with applicable laws.
  • Users retain ownership of all Generated Content produced by the Service in response to User Content or instructions.

3.4 Service Interruptions & Third-Party Changes

  • Soligo is not responsible for service interruptions caused by changes in Anthropic's AI models or policies.
  • If Anthropic modifies, limits, or discontinues its AI services, Soligo may adjust its features accordingly.
  • Soligo will notify users of major service disruptions when reasonably possible.

4. USER CONTENT AND RESPONSIBILITIES

4.1 Ownership of User Content

Users retain ownership of all content they upload to the Service. By submitting User Content, you grant Soligo a non-exclusive, worldwide, royalty-free license to use, process, and display the content solely to provide and improve the Service.

4.2 Responsibility for User Content

Users assume full responsibility for:

  • Ensuring their content does not infringe any copyrights, trademarks, or other intellectual property rights.
  • Verifying the accuracy and legality of AI-generated content before use.
  • Complying with all applicable laws regarding their use of the Service.

Soligo reserves the right to remove content that violates these Terms but is not obligated to monitor or review user-generated content.

4.3 Indemnification for Content Misuse

Users agree to indemnify and hold Soligo harmless from any claims, damages, or liabilities arising from:

  • Their misuse of AI-generated content.
  • Any copyright or trademark infringement resulting from their uploaded content or AI-generated outputs.
  • Legal actions due to unauthorized use of third-party materials.

5. AI RISK DISCLOSURE

5.1 Nature of AI Technology

  • AI is not a human expert and does not possess actual knowledge or reasoning.
  • AI-generated responses may contain misinformation despite appearing authoritative.
  • AI does not provide legal, medical, or financial advice and should not be relied upon for critical decisions.

5.2 Prohibited AI Uses

Users may not use Soligo's AI services for:

  • Creating deepfakes or deceptive content.
  • Political misinformation or election interference.
  • Automated decision-making in sensitive areas (e.g., HR, finance, criminal justice).

5.3 Regulatory Compliance

  • Soligo complies with applicable AI regulations, including the EU AI Act and U.S. state AI laws.
  • Users must ensure their use of AI complies with regional laws applicable to their industry.

5.4 Model Training Prohibition

  • Soligo will not train models on Customer Content submitted to the Service. User Content and Generated Content will not be used to train, develop, or improve any AI models.

6. DATA PROTECTION & SECURITY

6.1 Security Measures

  • Soligo implements reasonable technical and administrative safeguards to protect user data.
  • Users must secure their accounts and report unauthorized access immediately.

6.2 Data Retention & Privacy Compliance

  • Soligo complies with GDPR, CCPA, and other data privacy laws.
  • User data is retained only as long as necessary for service provision and legal compliance.
  • Soligo will provide breach notifications in compliance with applicable laws.

7. ACCOUNT MANAGEMENT & TERMINATION

7.1 Account Creation & Security

  • Users must provide accurate registration information and maintain account security.
  • Sharing or transferring accounts is prohibited.

7.2 Termination

  • Soligo may suspend or terminate accounts for violating these Terms.
  • Users may delete accounts at any time; data will be removed per Soligo's retention policies.

8. DISCLAIMERS & LIMITATION OF LIABILITY

  • AI-generated content is provided "as is" with no guarantees of accuracy.
  • Soligo's liability is limited to the amount paid by the user in the last 12 months (or $100 if unpaid).
  • Soligo is not liable for service interruptions caused by third-party AI providers.

9. DISPUTE RESOLUTION

  • Delaware law governs these Terms.
  • Disputes are subject to binding arbitration, with no class-action lawsuits.

10. CHANGES TO TERMS

  • Soligo may update these Terms and will notify users of material changes.
